depends what you're planning on doing

for an all around camera or if you plan on shooting sports or anything where you would need a high frame rate and better focus system I'd get the 40D, a lot of pros use the xxD bodies exclusively

if you're not planning on shooting any sports or fast moving things I'd get the 5D

also keep in mind the rumor mill has been running pretty wild lately about a 5D replacement coming out soon, so if you go that route you might to wait a little bit to see if you can pick up a used one at a nice discount
